1. Agreement to Terms

By accessing or using Headwater AI Group’s services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access our Services.

Headwater AI Group (“Headwater,” “we,” “us,” or “our”) provides data extraction, enrichment, and automation services including data feeds, API products, and workflow automation.

2. Services Description

2.1 Service Offerings

We provide the following services:

  • Data Feeds: Automated data pipelines that scrape, enrich, and deliver data on recurring schedules
  • API Products: Structured data endpoints providing access to proprietary datasets
  • Workflow Automation: Custom AI-powered systems that automate manual research and operations

2.2 Service Delivery

Services are delivered as described in individual project agreements, service orders, or product subscriptions. Specific deliverables, timelines, and pricing are defined per engagement.

3. Data Ownership & Usage Rights

3.1 Client Data

You retain all ownership rights to data you provide to us (“Client Data”). By using our Services, you grant us a limited license to process, store, and use Client Data solely to provide the Services.

3.2 Extracted Data

For data extraction services (scraping, public records, etc.), data sourced from public sources is processed and delivered to you. You receive rights to use this data subject to the terms of your service agreement and applicable data source terms.

3.3 Our Data Products

For API products and data feeds, we retain ownership of the underlying datasets, methodologies, and infrastructure. You receive a license to access and use the data as specified in your subscription or license agreement.

4. Third-Party Services

4.1 Service Providers

We use third-party services to provide our Services, including but not limited to:

  • AI/ML Providers (e.g., Anthropic Claude, OpenAI) for data processing and enrichment
  • Cloud Infrastructure (e.g., Railway, Render, AWS, GCP) for hosting and computation
  • Data Storage (e.g., Google Sheets API, database providers) for data management
  • APIs and Data Sources for data extraction and enrichment

By using our Services, you acknowledge that these providers may process your data as necessary to deliver the Services.

4.2 Third-Party Terms

When we integrate with your existing systems (Google Sheets, CRMs, etc.), you are responsible for compliance with those platforms’ terms of service.

5. Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Attempt to reverse engineer, decompile, or discover source code
  • Use the Services to transmit malware, viruses, or malicious code
  • Overload or attempt to disrupt our infrastructure
  • Resell or redistribute our Services without explicit permission
  • Use data obtained through our Services in violation of applicable laws or regulations
  • Scrape or systematically download our API products beyond agreed usage limits

6. Data Accuracy & Limitations

6.1 Best Effort

We strive for accuracy in data extraction and enrichment, but cannot guarantee 100% accuracy. Data is provided “as is” and you are responsible for validating accuracy for your use case.

6.2 Data Sources

Automated data collection may be affected by changes to source websites, APIs, or access restrictions. We will make reasonable efforts to maintain service continuity but cannot guarantee uninterrupted access to third-party data sources.

6.3 AI-Generated Content

Services using AI/ML for data processing may produce errors or inaccuracies. Human review is recommended for critical applications.

7. Fees & Payment

7.1 Pricing

Fees are as specified in service agreements, product subscriptions, or posted pricing. We reserve the right to change pricing with 30 days notice for monthly services.

7.2 Payment Terms

  • Setup fees are due before work begins
  • Monthly/usage-based fees are billed according to subscription terms
  • Late payments may result in service suspension after 15 days
  • No refunds for partial months or early termination

7.3 Usage-Based Fees

For API products with usage-based pricing, you are responsible for all usage charges incurred under your account.

8. Service Level & Availability

8.1 Uptime

We strive for high availability but do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance when possible.

8.2 Support

Support is provided via email during business hours (9am-5pm MT, Monday-Friday). Response times vary by service tier and issue severity.

9. Intellectual Property

9.1 Our IP

We retain all rights to our proprietary systems, code, methodologies, and infrastructure. This includes scrapers, data pipelines, API architectures, and automation workflows we build.

9.2 Custom Builds

For custom automation projects, you receive a license to use the delivered system. We retain the right to reuse general approaches, patterns, and non-specific code for other clients.

10. Confidentiality

10.1 Confidential Information

Both parties agree to protect confidential information disclosed during the engagement. This includes business processes, data sources, technical implementations, and proprietary information.

10.2 Exceptions

Confidentiality obligations do not apply to information that: (a) is publicly available, (b) is independently developed, (c) is required to be disclosed by law, or (d) is necessary to provide the Services.

11. Liability & Disclaimers

11.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEADWATER AI GROUP SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Third-party service failures (AI providers, cloud platforms, data sources)
  • Errors in automated data extraction or AI-generated outputs
  • Your use or misuse of data obtained through our Services

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11.2 Disclaimer of Warranties

SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify and hold harmless Headwater AI Group from any claims, damages, or expenses arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of third-party rights, or (d) your use of data obtained through our Services.

13. Term & Termination

13.1 Term

These Terms remain in effect while you use our Services.

13.2 Termination by You

You may terminate monthly services with 30 days notice. Custom projects are governed by project-specific agreements.

13.3 Termination by Us

We may terminate or suspend Services immediately for: (a) violation of these Terms, (b) non-payment, (c) illegal activity, or (d) risk to our systems or other clients.

13.4 Effect of Termination

Upon termination:

  • Access to Services will be revoked
  • Outstanding fees become immediately due
  • You must cease using any data, APIs, or systems we provided
  • We will delete your Client Data per our retention policy (see Privacy Policy)

14. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or service notification. Continued use after changes constitutes acceptance.

15. Governing Law & Disputes

15.1 Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles.

15.2 Dispute Resolution

Disputes will be resolved through good-faith negotiation. If unresolved within 30 days, either party may pursue binding arbitration under the rules of the American Arbitration Association.

16. General Provisions

16.1 Entire Agreement

These Terms, together with any service-specific agreements, constitute the entire agreement between you and Headwater AI Group.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

16.3 No Waiver

Failure to enforce any provision does not constitute a waiver of future enforcement.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign to any successor or affiliate.
